    Home Invest Belgium successfully raises € 27 million in capital increase via accelerated bookbuilding

    Home Invest Belgium (the "Company") (Euronext Brussels: HOMI), Belgium's largest listed lessor of residential real estate, successfully placed 1 791 706 new shares, corresponding to 10% of the existing shares, at € 14.90 per new share through a private placement with accelerated order book procedure (the "Offering"). The issue price represents a discount of 5.7% compared to the stock price of the Home Invest Belgium share after close of markets on 27 June 2023 (€ 15.80 per share). The offering raised gross proceeds of € 27 million.

    "We are delighted with the result of this capital increase and the success of Home Invest Belgium's ABB. Raising, in volatile financial markets, € 27 million equity priced at a price of

    • 14.90 (or5.7% discount to yesterday's closing price) shows investors' confidence in Home Invest Belgium and its strategy.", explains Preben Bruggeman, CFO of Home Invest Belgium.
    • The Offering allows for the financing of the investment pipeline of the company and strengthening the balance sheet by way of decreasing the debt ratio. The net proceeds from the capital increase have an estimatedpro-forma impact of 3.2% on the debt ratio reducing it to 49.8% (from 53.0% as at 31 March 2023).
    • Reference shareholders of the Company, Stavos Real Estate BV (part of Groep Van Overstaeten,) and AXA Belgium SA, supported and participated in the Offering (with part of the new shares being allocated to them following pre-allocation in accordance with the pre-commitments of both reference shareholders).
    • The new shares will be issued with coupons no. 5 et seq. attached. The new shares therefore confer the right to dividend as from 1 January 2023.
    • The new shares will be issued in accordance with Belgian law and are ordinary shares that represent the capital, in the same form as the existing shares, fullypaid-up, with voting rights and without nominal value. They confer the same rights as the existing shares.

    • The issue, delivery and admission to trading on the regulated market of Euronext Brussels of the New Shares is expected to take place on 3 July 2023.
    • As a result of the issuance of the new shares, the Home Invest Belgium's outstanding shares will increase from 17 917 060 to 19 708 766 ordinary shares.
    • As part of the Offering, trading of the Home Invest Belgium share was temporarily suspended and shall resume today (29 June 2023) as of the start of the trading day.
    • As part of the Offering, Home Invest Belgium will be subject to a90-day standstill which will be subject to customary exceptions.
    • Belfius Bank NV/SA (in cooperation with Kepler Cheuvreux S.A.) and KBC Securities NV/SA have acted as Joint Global Coordinators and Joint Bookrunners.
